What is an NCNDA?

Before AM Resourcing shares any supplier contacts, pricing, deal terms, or commodity program details with any counterparty — buyer, seller, broker, or producer — a signed Non-Circumvention, Non-Disclosure & Confidentiality Agreement (NCNDA) must be in place.

This protects both parties. You know we won’t share your information. We know you won’t bypass us on deals we originated.

Non-Circumvention
Neither party may bypass the other to contact suppliers, buyers, or intermediaries introduced through this relationship — for 2 years from introduction.

Non-Disclosure
All deal details, pricing, counterparty identities, and business information shared between the parties remain strictly confidential.

Confidentiality
The existence and nature of the business relationship between the parties is itself confidential — neither party may disclose it without written consent.

Governing Law — Texas / ICC
This NCNDA is governed by the laws of the State of Texas and disputes are resolved by ICC Arbitration in Houston, TX.

Frequently Asked Questions

Is this a standard industry NCNDA?
Yes. This is a standard two-party Non-Circumvention, Non-Disclosure & Confidentiality Agreement widely used in international bulk commodity trading. It follows ICC and standard Texas law conventions.
Do I need a lawyer to sign this?
We recommend consulting your legal counsel before signing any agreement. However, this NCNDA is written in clear, straightforward language and is widely used in the commodity trading industry without modification.
Does this obligate me to do a deal?
No. Signing the NCNDA does not obligate either party to enter into any transaction. It simply creates a confidential framework for discussing potential business opportunities.
Can I negotiate the terms?

How long does the NCNDA remain in effect?
The Agreement remains in force for 2 years from the Effective Date. Non-circumvention and non-disclosure obligations survive termination for an additional 2-year period, for a total protection window of up to 4 years.
What commodities does this cover?
This NCNDA is a general template that covers all commodity transactions between the parties, including but not limited to Petroleum Coke, Elemental Sulfur, Fertilizers, Coal, Cement, Salt, Lumber, Recovered Paper, and any other bulk commodity.
